Terms of Service

1. Acceptance of Terms

These Terms of Service are a binding agreement between you and Prune IO LLC, a Pennsylvania limited liability company doing business as PleaseStart ("PleaseStart," "we," "our," or "us"). By accessing, browsing, or using PleaseStart in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy (Section 3), each of which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately discontinue use of the platform.

We reserve the right to modify, amend, or replace these Terms at any time in our sole discretion. We will notify you of material changes via email or prominent notice on the platform at least fifteen (15) days before such changes take effect. Your continued use of PleaseStart after any modifications constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree with any modification, your sole remedy is to discontinue use of the platform and close your account.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a legally binding contract to use PleaseStart. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete, and you agree to update it promptly as necessary.

• One account per person or legal entity
• Accurate, current, and complete registration information required
• Immediate notification to PleaseStart of any unauthorized account use
• Dealer accounts are subject to review and approval. By registering a dealer account, you represent and warrant that you hold, and will maintain for as long as you use the platform, every dealer license, registration, and permit required by applicable law (including, for Pennsylvania dealers, licensure under the Pennsylvania Board of Vehicles Act). PleaseStart may request proof of licensure at any time and may suspend or reject dealer accounts that fail to provide it
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you
• PleaseStart reserves the right to reject any account application or suspend or terminate any account at any time, for any reason, in its sole discretion

3. Fees, Payments, and Refunds

PleaseStart charges listing fees to sellers. PleaseStart's sole revenue is listing fees: we charge no transaction fees, no commissions, and we display no third-party advertising.

• Individual sellers pay a listing fee starting at $19.99 per vehicle for a 30-day listing
• Dealers purchase prepaid token packages through one-time payments. One token is spent when a listing is submitted for review, or earlier when an inventory import creates a new draft. Submitting that prepaid imported draft for review does not spend another token. Renewing an expired dealer listing spends another token. Publication requires approval.
• Payment processed securely through Stripe; PleaseStart does not store full payment card details
• Fee changes will be communicated at least 30 days in advance; continued use after a fee change constitutes acceptance of the new fees
• You are responsible for all taxes, duties, and other governmental charges associated with your use of the platform

Refunds

Listing fees are refundable only as provided in the PleaseStart Refund Policy, which is incorporated into these Terms by reference and available on request from support@pleasestart.com. In summary:

• Within 24 hours of purchase: full refund on request, for any reason
• Platform failures: full refund where a technical error on our side prevents your listing from being created or published, including erroneous automated rejections that you successfully dispute
• Early removal: a prorated refund may be available when you remove a live, compliant listing before its 30-day term ends
• No refund for listings that were published and remained live, for listings removed due to your violation of these Terms, or after the 30-day listing term has run; outside the 24-hour window, refund approval is in PleaseStart's reasonable discretion as described in the Refund Policy
• Dealer tokens are non-refundable once issued, except where a platform error prevented issuance or redemption; unused tokens do not expire

Refunds are issued to the original payment method. Contact support@pleasestart.com to request a refund before initiating a card dispute. We review requests under the Refund Policy. Abusive chargebacks may result in account suspension.

4. Marketplace Role and Disclaimer

PleaseStart is a listing marketplace that connects buyers and sellers. PleaseStart is not a party to any transaction between users and has no obligation to mediate, resolve, or intervene in any dispute between users.

• We do not inspect, certify, warrant, or guarantee any vehicles listed on the platform
• We do not provide financing, escrow, title transfer, settlement, or transaction completion services, and we never hold or move funds between buyers and sellers
• Buyers and sellers are solely responsible for their own transactions, including negotiation, payment, delivery, and legal compliance
• We provide tools and information to facilitate informed decisions, but make no guarantee as to the accuracy, completeness, or reliability of any listing content, vehicle history data, or other user-generated information
• PleaseStart does not endorse any user, vehicle, or listing
• Quality scores, badges, and similar indicators displayed on the platform reflect automated evaluation of listing completeness and presentation. They are provided for informational purposes only and are not an inspection of, or a guarantee or endorsement of, any vehicle, user, or listing

Offers Are Negotiation, Not a Sale

The platform's offer feature is a communication tool between one buyer and one seller. Submitting, countering, accepting, or declining an offer through the platform:

• Does not create a purchase contract, move any funds, reserve any vehicle, or change the listing's availability
• Constitutes, at most, a recorded expression of intent to continue the transaction off-platform, directly between buyer and seller
• Is not brokered, guaranteed, or supervised by PleaseStart; we are not an agent, broker, dealer, or auctioneer for either party

If a dispute arises between a buyer and a seller, your recourse is against the other party — for example through direct resolution, small claims court, a police report in the case of fraud, or your card issuer where applicable. PleaseStart does not arbitrate or mediate disputes between users.

5. Listings and Quality Standards

All listings must meet our quality standards as determined by PleaseStart in its sole discretion. We reserve the right to reject, edit, or remove any listing at any time, for any reason, without prior notice or liability.

• No salvage or branded title vehicles; no stolen vehicles; sellers must have lawful authority to sell the listed vehicle
• No watermarked or stock photos
• Accurate and complete vehicle information required, including an accurate VIN, mileage, and title status
• Fraudulent, misleading, or deceptive listings result in immediate account termination
• PleaseStart may use automated tools, including CurateAI, to evaluate and moderate listings; you consent to such automated processing
• Listing content may be retained by PleaseStart after removal or account termination for compliance, legal, and operational purposes

AI-Assisted Listing Content (CurateAI)

PleaseStart builds listing descriptions with CurateAI, our AI-assisted listing engine, from the vehicle identifiers you provide (such as VIN and mileage), authoritative third-party vehicle data sources, your photos and documents, and your structured condition disclosures. By creating a listing, you agree that:

• You must review the generated description before publication. You may request regeneration a limited number of times and may add your own short seller's note, but the AI-generated description itself is not free-form editable
• Publishing a listing is your certification that the vehicle information, photos, condition disclosures, and the description as presented are accurate and not misleading. You are responsible for the published listing as if it were content you authored yourself, notwithstanding the AI assistance used to prepare it (ownership of CurateAI-generated text is addressed in Section 7)
• Condition facts come from you, not from AI. You are required to disclose known condition issues through the platform's structured condition disclosure, or to expressly affirm that you know of none. PleaseStart's automated photo analysis classifies photo angle, quality, and policy compliance; it does not detect, assess, or describe vehicle damage, and no listing content should be read as an AI assessment of vehicle condition
• Configured third-party vehicle specifications (such as government VIN-decoder data) are presented as received; PleaseStart does not guarantee their accuracy or completeness. PleaseStart does not import vehicle-history reports

6. Buyers, Offers, and Communications

Buyers are solely responsible for conducting their own independent due diligence before purchasing any vehicle. PleaseStart makes no representations or warranties regarding any vehicle listed on the platform, and buyers assume all risk associated with any transaction.

• Verify vehicle condition independently before purchase
• Obtain an independent mechanical inspection when possible
• Confirm title status and vehicle history through independent sources
• Communicate respectfully with sellers
• Comply with all applicable laws and regulations related to vehicle purchases, registration, and insurance
• PleaseStart shall not be liable for any loss, damage, or claim arising from a buyer's reliance on listing content or failure to conduct adequate due diligence

Listing Q&A and Messaging

The platform provides two structured communication surfaces: a moderated listing Q&A (a buyer asks a factual question; only the listing owner or a PleaseStart administrator answers) and a private offer thread between one buyer and one seller. When using either surface, you agree that:

• Questions and answers must relate to the listed vehicle; published answers are publicly visible and subject to moderation
• PleaseStart may moderate, edit for policy compliance, decline to publish, or remove any question or answer, and may restrict users who abuse these surfaces
• You will not use platform communications to solicit payments through untraceable channels (such as gift cards or wire transfers to unverified parties), to spam or harass other users, or to advance any fraudulent scheme — while vehicle sales themselves are completed off-platform, payment-solicitation scams through our messaging surfaces are prohibited
• Communications sent through the platform may be retained and reviewed for fraud prevention, moderation, compliance, and legal purposes

7. Intellectual Property

All PleaseStart content, branding, software, technology, designs, and documentation — including CurateAI-generated listing descriptions and quality evaluations — are the exclusive property of Prune IO LLC and are protected by applicable intellectual property laws.

• PleaseStart and CurateAI are trademarks of Prune IO LLC; unauthorized use is strictly prohibited
• User-generated content remains the property of the user, subject to the license granted herein
• By posting content on PleaseStart, you grant PleaseStart a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works of such content for any purpose related to operating, promoting, and improving the platform and PleaseStart's business
• You represent and warrant that you own or have all necessary rights to the content you post and that such content does not infringe any third party's intellectual property or other rights
• Do not copy, reproduce, distribute, reverse engineer, or create derivative works of PleaseStart content without prior written permission

Copyright Infringement (DMCA)

PleaseStart respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the platform infringes your copyright, you may submit a takedown notice to our designated agent:

Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the platform; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; (e) a statement under penalty of perjury that your notice is accurate; and (f) your physical or electronic signature.

PleaseStart reserves the right to remove allegedly infringing content and to terminate the accounts of repeat infringers in its sole discretion.

8. Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PLEASESTART EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

PleaseStart does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLEASESTART, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PLEASESTART HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PLEASESTART'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO PLEASESTART IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless PleaseStart, Prune IO LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use of or access to the platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you post or submit on the platform
• Any transaction between you and another user
• Your negligence or willful misconduct
• Any claim that your content infringes a third party's intellectual property or other rights

This indemnification obligation shall survive termination of your account and these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Lancaster County, Pennsylvania, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform, or any transaction facilitated through the platform ("Dispute") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Lancaster County, Pennsylvania, or at another location mutually agreed upon.

• The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
• The arbitrator shall apply Pennsylvania law consistent with the Federal Arbitration Act
• The arbitrator may award the same damages and relief that a court could award, but shall not have authority to award punitive or exemplary damages in excess of what a court could award
• Each party shall bear its own attorneys' fees and costs unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party
• For claims of $10,000 or less, PleaseStart will reimburse your AAA filing fees and will not seek its attorneys' fees, provided the arbitrator does not find your claim frivolous

Class Action Waiver

YOU AND PLEASESTART AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate proceedings or preside over any form of representative or class proceeding.

Exceptions

Small claims court actions within the jurisdictional limits of the court are exempt from the arbitration requirement. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

Your Right to Opt Out of Arbitration

You may opt out of this arbitration agreement and class action waiver by emailing legal@pleasestart.com with the subject line "Arbitration Opt-Out" — including your name and the email address associated with your account — within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

Non-Waivable Rights

Nothing in these Terms limits or waives any right or remedy that cannot be limited or waived under applicable law, including any non-waivable rights of Pennsylvania consumers under the Pennsylvania Unfair Trade Practices and Consumer Protection Law. The arbitrator may award any individual relief that a court could award under applicable law.

Informal Resolution

Before initiating arbitration, you agree to first contact PleaseStart at legal@pleasestart.com and attempt to resolve the Dispute informally for at least thirty (30) days. If the Dispute is not resolved within that period, either party may proceed to arbitration.

11. Termination

You may terminate your account at any time through your account settings. PleaseStart may suspend or terminate your account at any time, for any reason, in its sole discretion, with or without notice.

• All unpaid fees remain immediately due and payable upon termination
• Active listings will be removed upon account closure
• PleaseStart may retain your content and data as necessary for legal, compliance, and operational purposes
• The following provisions survive termination: Sections 7 (Intellectual Property), 8 (Disclaimers and Limitation of Liability), 9 (Indemnification), 10 (Governing Law and Dispute Resolution), 12 (Privacy and Data), and this Section 11
• PleaseStart shall not be liable to you or any third party for any termination or suspension of your account

12. Privacy and Data

Your use of PleaseStart is also governed by our Privacy Policy, which is incorporated into these Terms by reference and describes what we collect, how we use it, and the choices available to you. In summary:

• We collect the information needed to operate a listing marketplace — account, listing, communication, payment-related, and usage data — as detailed in the Privacy Policy
• We share personal information only with the service providers needed to run the platform, when required by law, and as part of a business transfer (merger, acquisition, or asset sale)
• PleaseStart may use aggregated, anonymized, or de-identified data derived from your use of the platform for any lawful purpose, including analytics and product development
• You may update account details and schedule account deletion through account settings, or contact privacy@pleasestart.com with privacy questions
• PleaseStart uses commercially reasonable security measures to protect your data but does not guarantee the security of any information transmitted to or stored on the platform

13. User Conduct

You agree not to use PleaseStart for any unlawful purpose or in any manner that could damage, disable, or impair the platform. Without limiting the foregoing, you agree not to:

• Post false, misleading, or fraudulent information
• Harass, threaten, or abuse other users
• Attempt to access another user's account or any non-public portions of the platform
• Use bots, scrapers, or other automated means to access or collect data from the platform without PleaseStart's prior written consent
• Circumvent, disable, or interfere with any security or access-control features of the platform
• Use the platform to transmit malware, viruses, or other harmful code
• Engage in any activity that imposes an unreasonable or disproportionate load on our infrastructure
• Reproduce, duplicate, or copy any portion of the platform for commercial purposes without written permission

PleaseStart reserves the right to investigate and take appropriate action against any violation, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

14. Third-Party Services and Links

The platform may contain links to or integrations with third-party websites, services, or applications. PleaseStart does not endorse, control, or assume responsibility for any third-party content or services.

• Your use of third-party services is at your own risk and subject to those parties' terms and policies
• PleaseStart is not liable for any loss or damage arising from your interaction with third-party services
• The inclusion of any link does not imply endorsement or affiliation by PleaseStart

15. Force Majeure

PleaseStart shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or third-party service disruptions.

16. Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision in a particular jurisdiction shall not invalidate such provision in any other jurisdiction.

17. Entire Agreement and Waiver

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and PleaseStart regarding your use of the platform, and supersede all prior agreements, understandings, and communications, whether written or oral.

No waiver by PleaseStart of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term. PleaseStart's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

PleaseStart may assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, at any time without notice or your consent. You may not assign or transfer these Terms or any rights or obligations hereunder without PleaseStart's prior written consent.

All notices to PleaseStart must be sent to the email address above and are deemed received upon confirmation of delivery. PleaseStart may provide notices to you via email, platform notification, or posting on the platform, which shall be deemed effective upon sending or posting.
